Vietnam Manufacturing Groups: Tax Incentives, Data and Domestic Top-up Tax

Jurisdiction risks · 3-minute read

For a manufacturing investment, the incentive forecast, local tax calculation and group minimum-tax position need to reconcile. A favourable investment certificate is only part of the evidence.

Use the applicable Vietnam framework

Vietnam’s Government states that Decree 236/2025/ND-CP details the global minimum-tax regime under Resolution 107/2023/QH15, takes effect on 15 October 2025 and applies from fiscal year 2024. Distinguish the decree’s effective date from the fiscal years it covers. Confirm the relevant entities, group threshold and local implementation for the tested period before calculating an amount. Obtain the current Vietnamese requirements with local advice rather than using a regional summary as the final authority. Record the filing entity and source documents supporting the entity population so the group and local teams work from the same facts.

Reconcile incentives with the accounting inputs

List the incentive period, qualifying activities and actual accounting entries. Ask how the tax holiday or reduced rate affects current tax and whether other tax attributes require GloBE adjustments. A fictional factory’s investment model may show a low cash tax burden while headquarters includes a different provision in its calculation. Neither figure should be substituted automatically for adjusted covered taxes. Compare the year, currency and income definitions first. Then examine available relief under the applicable rules, keeping any international guidance and its local treatment distinct rather than presuming they are identical.

Keep payment and sanctions on the agenda

Separate the local calculation, declaration, payment and supporting-record workstreams. The Government’s explanation of the decree addresses responsibility of the declaring constituent entity and treatment of overpayments, late-payment amounts and penalties. It does not justify using one generic fine for every breach. Ask local advisers to identify the precise obligation, deadline, responsible entity and possible interest or sanction for the issue under review, including any applicable relief. A zero estimate or a central GIR filing is not enough to close those questions. Retain the local advice and submission evidence with the calculation.

Review before approving investment returns

If an incentive is material to an acquisition or expansion, test the minimum-tax assumptions before relying on the forecast. Identify what management expects to retain, which figures remain provisional and who will confirm the local law. Ask the finance team to preserve the bridge between the investment model, statutory accounts and minimum-tax calculation. Bring us the incentive documents, ownership structure and forecast if those versions conflict. We can help organise the questions with local advisers and existing accountants. The objective is a supportable investment decision and a workable compliance plan, not an assumption that every incentive either disappears or remains untouched.

What to do with this

  • Distinguish the decree’s effective date from the fiscal years covered.
  • Reconcile incentive forecasts, accounts and minimum-tax inputs.
  • Confirm local declaration, payment and sanction rules for the actual issue.
