Can You Rely on Headquarters to File Everything?

Penalties and risk management · 3-minute read

Central preparation can reduce duplication, but it needs a precise boundary. Ask what headquarters is filing, where it is filed and which local obligations remain with subsidiaries.

Define the central deliverable

Distinguish the preparation of data, calculation review, GIR submission and local returns or notices. A central engagement may cover only some of those tasks. Identify the filing entity, jurisdiction and fiscal year, together with the basis on which another location may rely on that submission. Do not assume an adviser’s group-level appointment authorises every local act. Keep the engagement scope, internal approval responsibilities and portal authorities available to the finance teams. A receipt for one document is evidence of that submission, not proof that all minimum-tax administration is complete throughout the group.

Check the conditions for local reliance

Local reliance on foreign GIR filing can depend on specified conditions, including the applicable exchange arrangements and timely actions. Hong Kong’s FAQs illustrate that overseas GIR relief and local assessment information are separate questions. In a fictional group, the central team sends a GIR receipt to subsidiaries after the local notification date. The receipt does not establish that the earlier notification was handled. Each subsidiary should identify the requirement, responsible filer and evidence. Ask the local adviser to confirm the relief actually claimed rather than relying on a broad assurance that the country participates in information exchange.

Make local teams part of the approval process

Ask subsidiaries to confirm the entity population, accounting data, tax attributes and local elections before central submission. Give them a deadline for raising discrepancies and a process for later changes. Separately arrange registration, local appointments, payment and monitoring of assessment notices. Preserve evidence of the review rather than accepting an unexplained “approved” email. If responsibility is delegated, record the entity and person who remains accountable internally. Potential local penalties should be examined against the specific missed duty; a central service contract does not necessarily remove legal liability under domestic law.

Use a completion checklist that proves the handover

For each location, list the central document supplied, relief confirmed, remaining local action and receipt required to close the task. Follow up missing items before declaring the global project complete. Bring us the central scope and local filing matrix if teams are relying on assumptions instead of named responsibilities. We can help coordinate the interfaces with existing advisers and identify where local confirmation is missing. The objective is to use central filing efficiently while retaining a defensible answer to the practical question every subsidiary may face: what exactly did you submit, or lawfully rely on, for this year?

What to do with this

  • Define central preparation, GIR submission and local duties separately.
  • Verify foreign-filing reliance conditions and surviving notices or returns.
  • Close every local workstream with documented confirmation and evidence.
